As of April 1, 2026, amendments introduced by Order No. 687 of the Acting Minister of Justice of the Republic of Kazakhstan dated November 21, 2025, have come into force. These changes affect the Rules for the Provision of the Public Service “State Registration of Legal Entities, Registration of Their Branches and Representative Offices.” The new provisions are aimed at strengthening control over registration processes and improving the accuracy of information about newly established companies.
Key Changes
1. Personal Presence of the Founder During Registration
In cases provided for by the internal control rules of the registering authority, state registration of commercial legal entities (as well as the registration of their branches and representative offices) is carried out with the personal presence of the founder. A notification of the need for personal presence is sent to the service recipient’s personal account on the e‑government portal.
This requirement applies to all commercial organisations, including limited liability partnerships (LLPs), joint stock companies, and other legal forms that fall under the criteria set by the internal control rules.
2. Confirmation of the Legal Entity’s Location
When submitting an electronic application for the registration of a legal entity (a private entrepreneurship entity), the location of the company, branch or representative office must be confirmed by the consent of the property owner. The accuracy of the address is automatically verified through the integration of information systems, which eliminates the possibility of using fictitious or “mass” addresses.
Why This Matters for Businesses
The new requirements significantly change the business registration procedure in Kazakhstan, especially for foreign founders and companies planning to start from scratch.
Key risks of non‑compliance:
refusal of registration if the founder cannot appear in person or the legal address is not confirmed;
suspension of the registration procedure until the personal presence requirement is met;
additional time and financial costs for foreign founders who must travel to Kazakhstan in person.
What Businesses Should Do
To successfully register a commercial legal entity under the new rules, it is recommended to:
check in advance whether personal presence of the founder is required in your particular case;
ensure a confirmed legal address (consent of the property owner);
foreign founders should plan their trip to Kazakhstan taking into account the new requirements;
if necessary, delegate authority to a trusted representative with properly executed documents.
